1. Acceptance of Terms

By downloading, installing, or using ChunkNote, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use ChunkNote.

These terms may be updated at any time. Your continued use of ChunkNote constitutes acceptance of updated terms. We recommend reviewing this document periodically.

2. License and Usage

2.1 Limited License

ChunkNote grants you a limited, non-exclusive, non-transferable, revocable license to use ChunkNote on one or more macOS devices for your personal or professional use. This license terminates if you violate these terms.

2.2 Permitted Uses

• Capturing and transcribing your own meetings
• Generating meeting notes for personal or business purposes
• Accessing real-time coaching guidance during meetings
• Syncing data across your own devices (if cloud sync enabled)

2.3 Prohibited Uses

You agree NOT to:

• Reverse engineer, decompile, or attempt to access ChunkNote's source code
• Use ChunkNote to capture audio from meetings you did not participate in or authorize
• Share ChunkNote with other users for unauthorized purposes
• Sell, rent, or lease ChunkNote to third parties
• Use ChunkNote in violation of any applicable law or regulation
• Use ChunkNote to harass, threaten, defame, or abuse others
• Attempt to interfere with ChunkNote's operation or servers
• Remove or obscure any copyright, trademark, or proprietary notices

3. Recording Consent and Legal Compliance

3.1 Your Responsibility

CRITICAL: You are solely responsible for complying with all applicable laws and regulations regarding the recording, transcription, and use of meeting audio in your jurisdiction.

3.2 Recording Laws Vary by Jurisdiction

• All-party consent states/regions: Some jurisdictions require consent from ALL meeting participants before recording or transcribing (e.g., California, Florida, Pennsylvania, parts of Europe)
• One-party consent states/regions: Other jurisdictions require consent only from the person operating the recording device (typically, you)
• International calls: International calls may be subject to the most restrictive jurisdiction's laws

3.3 Your Obligations

• Research and understand the recording consent laws in your jurisdiction
• Inform all meeting participants that you are using ChunkNote to capture and transcribe the meeting before the meeting begins
• Obtain explicit consent from all participants if required by law
• Maintain records of consent obtained
• Do not use ChunkNote to record meetings you do not participate in or for which you lack authority

3.4 No Liability for Your Violations

ChunkNote is not responsible for your violation of recording consent laws. If you violate recording laws while using ChunkNote, you assume all legal and financial consequences. ChunkNote will not defend, indemnify, or compensate you for legal claims arising from your violation of recording laws.

4. Intellectual Property

4.1 Your Content

• You retain all rights to the audio you record, transcripts generated, notes created, and any other content
• You grant ChunkNote a non-exclusive license to store, process, and display your content to provide the service
• You may export and delete your content at any time

4.2 ChunkNote Intellectual Property

• ChunkNote software, design, features, and documentation are owned by GigaCarp, LLC
• All rights reserved. You may not copy, modify, or distribute ChunkNote or its components

4.3 Third-Party Content

ChunkNote may use third-party libraries and services. See the ChunkNote app for attribution and licenses.

5. Third-Party Services

5.1 AI Providers

ChunkNote integrates with third-party AI providers (Anthropic Claude, Google Gemini, etc.). When you use these services:

• You are subject to each provider's terms of service and privacy policies
• ChunkNote is not responsible for third-party service outages, data loss, or policy violations
• You are responsible for your own API keys and account security
• Charges from third-party providers are your responsibility

5.2 Firebase (Optional Cloud Sync)

If you enable cloud sync:

• Your data is stored in Firebase (Google Cloud)
• You are subject to Google's Terms of Service and Privacy Policy
• ChunkNote is not responsible for Firebase outages or data loss

5.3 Transcription Services

If you use cloud-based transcription:

• Audio is sent to third-party transcription providers
• You are subject to each provider's terms and privacy policies
• ChunkNote is not responsible for transcription accuracy or data handling

6. API Keys and Authentication

6.1 Your Responsibility

• You are responsible for maintaining the confidentiality of your API keys and passwords
• You are responsible for all activities that occur using your credentials
• Do not share your API keys with others or store them in public repositories

6.2 API Key Security

• ChunkNote stores your API keys locally on your device, encrypted
• ChunkNote does not transmit your keys to its own servers
• You are responsible for rotating compromised keys

7. Beta Disclaimer and Assumption of Risk

7.1 "As-Is" Basis

ChunkNote is provided on an "as-is" basis during beta. ChunkNote is not production-ready software.

7.2 No Warranty

ChunkNote disclaims all warranties, express or implied, including:

• Merchantability
• Fitness for a particular purpose
• Non-infringement of third-party rights
• Accuracy or completeness of data

7.3 Known Beta Issues

During beta, ChunkNote may:

• Crash or hang unexpectedly
• Lose data or fail to sync properly
• Produce inaccurate transcripts or notes
• Consume high CPU or memory
• Drain battery more than expected
• Have missing or incomplete features

These issues do not constitute breaches of these terms or grounds for refunds (beta is free).

8. Data Loss and Backup

8.1 No Data Preservation Guarantee

• ChunkNote does not guarantee that your data will be preserved indefinitely
• If ChunkNote is discontinued during beta, you may lose access to your data
• Regular backups are your responsibility

8.2 Local Data

• Data stored locally on your device is subject to accidental deletion or device failure
• We recommend using Time Machine or equivalent backup tools

8.3 Cloud Data

• Cloud-synced data is subject to Firebase's data retention policies
• Deleting your account or Firebase credentials will result in permanent data loss

9. Service Availability and Changes

9.1 Beta May End

ChunkNote may transition from beta to release, be substantially modified, or be discontinued entirely, at the developer's sole discretion, with or without notice.

9.2 Feature Changes

Features may be added, modified, or removed at any time during beta.

9.3 No Service Level Agreement

ChunkNote makes no guarantee of uptime, availability, or performance during beta. The service may be down for maintenance, debugging, or other reasons without notice.

10. Support and Bug Reports

10.1 Best Effort Support

ChunkNote will attempt to provide bug fixes and support on a best-effort basis during beta. However, support response times are not guaranteed.

10.2 Bug Reporting

If you encounter bugs, please report them to support@chunknote.app with:

• Detailed description of the issue
• Steps to reproduce
• macOS version and ChunkNote version
• Relevant log files (if applicable)

11. Termination

11.1 Termination by You

You may stop using ChunkNote at any time. Upon termination:

• Your license to use ChunkNote ends immediately
• You must delete ChunkNote from your devices
• Your local data remains on your device; cloud data may be deleted upon request

11.2 Termination by ChunkNote

ChunkNote may terminate your access if you:

• Violate these terms
• Use ChunkNote for illegal purposes
• Attempt to harm ChunkNote or its infrastructure
• Abuse the service or disrupt other users

Termination may occur immediately and without notice.

12. Privacy and Data Handling

12.1 Two AI Modes

ChunkNote offers two ways to use AI features, and your data handling depends on which you choose:

• Bring Your Own API Key (BYOK): Your API keys are stored locally on your device and never transmitted to GigaCarp, LLC. Meeting content is sent directly from your device to your chosen AI provider (Anthropic, Google, etc.) and is governed by that provider's privacy policy.
• ChunkNote Cloud: Meeting content is sent to GigaCarp, LLC's cloud AI instance for processing. This instance is configured as non-sharing and is not used to train any AI or machine learning model. GigaCarp, LLC does not sell, license, or share your content with third parties.

12.2 No Data Training — Either Mode

Regardless of which AI mode you use, GigaCarp, LLC does not use your meeting audio, transcripts, notes, or any other content you generate in ChunkNote to train artificial intelligence or machine learning models, now or in the future.

12.3 Local Storage

Meeting data (transcripts, notes, recordings) is stored locally on your device in both modes. If you enable optional cloud sync, data is additionally stored in Firebase (Google Cloud) subject to Google's terms. See Section 5.2.

12.4 Diagnostic Data

ChunkNote may collect limited, anonymized diagnostic information such as crash reports and performance metrics to improve the product. This diagnostic data does not include meeting content, transcripts, notes, or API keys.

Your use of ChunkNote is also subject to the ChunkNote Privacy Policy. Please review it to understand our complete data practices.

13. Indemnification

You agree to indemnify, defend, and hold harmless GigaCarp, LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorney fees) arising from:

• Your use of ChunkNote
• Your violation of these terms
• Your violation of any law or third-party rights
• Your recorded content or how you use it
• Recording consent violations

14. Dispute Resolution

14.1 Informal Resolution

If you have a dispute with ChunkNote, please contact us at legal@chunknote.app to attempt resolution informally.

14.2 Governing Law

These terms are governed by the laws of the State of Nebraska, without regard to conflicts of law principles.

14.3 Jurisdiction

Any legal action or proceeding must be brought exclusively in the state or federal courts located in Nebraska. You consent to the jurisdiction and venue of these courts.

14.4 Arbitration and Class Action Waiver

By using ChunkNote, you agree that any dispute shall be resolved by binding arbitration under Nebraska law, rather than in court, except for claims for injunctive or other equitable relief. YOU AND GIGACARP, LLC EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. All disputes must be arbitrated on an individual basis only.

14.5 Arbitration Opt-Out

You may opt out of the arbitration agreement by sending written notice to legal@chunknote.app within thirty (30) days of first downloading or using ChunkNote. Your notice must include your name, email address, and a clear statement that you wish to opt out of binding arbitration. Opting out does not affect any other provision of these terms.

15. Severability

If any provision of these terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or if impossible, severed. The remaining provisions remain in full effect.

16. Entire Agreement

These Terms of Service, together with the Privacy Policy, constitute the entire agreement between you and ChunkNote regarding your use of the service and supersede all prior agreements and understandings.

17. No Waiver

Failure to enforce any provision of these terms does not constitute a waiver of that provision or any other provision.

18. Amendment

ChunkNote may amend these terms at any time by updating this page. Your continued use of ChunkNote after amendments constitutes acceptance of the updated terms.

20. AI-Generated Output

20.1 No Guarantee of Accuracy

ChunkNote uses AI to generate transcripts, meeting notes, summaries, action items, and coaching guidance. This output is provided "as is" and may be inaccurate, incomplete, or misleading. GigaCarp, LLC makes no warranty regarding the accuracy, reliability, or fitness of any AI-generated output.

20.2 Your Responsibility

You are solely responsible for reviewing, verifying, and deciding how to use any AI-generated content. Do not rely on ChunkNote output for legal, medical, financial, or other professional decisions without independent verification. GigaCarp, LLC is not liable for any action taken or not taken based on AI-generated output.

20.3 Third-Party AI Providers

AI features depend on third-party providers (Anthropic, Google, etc.). GigaCarp, LLC has no control over those providers' models, outputs, or uptime. Changes to third-party AI models may affect ChunkNote's output without notice.

21. Force Majeure

GigaCarp, LLC is not liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, government action, cyberattacks, infrastructure failures, or third-party service outages (including failures of AI providers, cloud platforms, or operating system vendors). In such events, GigaCarp, LLC will resume performance as soon as reasonably practicable.

22. Assignment

You may not assign or transfer your rights or obligations under these terms without GigaCarp, LLC's prior written consent. GigaCarp, LLC may assign these terms, in whole or in part, without your consent in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets. These terms are binding upon and inure to the benefit of the parties and their permitted successors and assigns.

23. Export Controls

ChunkNote software may be subject to U.S. export control laws and regulations. You agree not to export, re-export, or transfer ChunkNote to any country, person, or entity in violation of U.S. export laws. By using ChunkNote, you represent that you are not located in, under the control of, or a national or resident of any country subject to U.S. embargo or sanctions.

24. Acknowledgment

By downloading or using ChunkNote, you acknowledge that you have read these Terms of Service, understand them, and agree to be bound by them, including the arbitration agreement and class action waiver in Section 14. If you do not agree, do not use ChunkNote.
